The Assistant General Counsel, M&A and Corporate will play a pivotal role in the company by partnering with the mergers and acquisitions business team to achieve the company's strategic initiatives, as well as taking responsibility for certain day-to-day contracts, board meetings and resolutions, and other general corporate matters. This strategic leadership position goes beyond traditional subject matter expertise, working seamlessly with the business clients as a member of a diverse team of legal and compliance professionals.

Job Responsibilities & Requirements

What you will do

  • Strategic Legal Leadership: Collaborate closely with the M&A business team to align legal and transactional strategies with business objectives. * Provide innovative and forward-thinking legal and M&A solutions to support the company's growth and expansion. * Act as a key leader over the company's growth strategies.

  • Team Leadership: Counsel and mentor a high-performing M&A business team, fostering a collaborative and innovative work environment. * Develop and nurture talent within the M&A department to ensure a strong pipeline of future leaders for the company.

  • Risk Management: Identify and assess legal and compliance risks in the M&A and corporate areas, developing and implementing strategies to mitigate and manage those risks effectively. * Work cross-functionally to ensure that legal and compliance considerations are integrated into decision-making processes.

  • Governance Oversight: Continue developing comprehensive corporate governance programs to ensure adherence to applicable laws, regulations, and industry standards on a global basis. * Regularly assess the effectiveness of corporate governance initiatives and provide recommendations for continuous improvement.

  • Stakeholder Engagement: Interface with external legal counsel, regulators, and other stakeholders to represent the company's interests effectively. * Build and maintain strong relationships with internal stakeholders to facilitate open communication and collaboration.


Qualifications

  • Juris Doctorate Law required

  • 8+ Years of transactional M&A experience in a medium to large law firm environment. required

  • Substantive experience leading, negotiating, and drafting complex M&A transactions from inception to due diligence to closing to integration. required

  • Proven ability to effectively negotiate, provide strategic legal counsel and drive positive transactional outcomes. required

  • Strong leadership and team management skills, with the ability to inspire and mentor a diverse legal and business team. required

  • Excellent communication and interpersonal skills, with the ability to collaborate effectively across all levels of the organization. required

  • Able to use Microsoft Office Applications

  • Licensed Professional Attorney - Active Membership in any US State Bar - Any US State Bar required
